Employee Benefits We have in-depth experience in drafting and designing all types of qualified retirement plans, including defined benefit, profit sharing, 401(k) and Employee Stock Ownership Plans. We also create deferred compensation plans, phantom stock plans and stock appreciation rights for clients. Our attorneys do a variety of work in the welfare benefit plan area, such as cafeteria plans, medical care spending plans and dependent care plans. We represent employers in the area of employee benefits, including COBRA, plan terminations, plan submissions, representation before the IRS, Department of Labor and the Pension Benefit Guaranty and nondiscrimination rules for qualified plans. We handle multi-employer pension plan issues, including withdrawal liability matters. We regularly provide nondiscrimination testing and other forms of compliance work to qualified and nonqualified plans. Our attorneys also handle employee benefits due diligence in mergers and acquisitions to assist the client in determining exactly what benefits costs they are assuming and how they fit with existing benefit structures. We are actively involved in developing employee benefit strategies for contract negotiations, merger, acquisitions and reductions in force.
